Terms of Service

Effective date: 10 September 2026

These Terms of Service (“Terms”) govern the purchase of and participation in coaching, training, educational programs, communities, digital content and related services provided by Visionary Ecom Coaching FZCO.

Please read these Terms carefully before purchasing or using our Services.

By purchasing, enrolling in, accessing or using any of our Services, you agree to these Terms.

References to “Visionary Ecom”, “we”, “us” or “our” mean Visionary Ecom Coaching FZCO.

2. Definitions

For purposes of these Terms:

“Client” means any individual, entrepreneur, company or other person or entity purchasing, accessing or participating in the Services.

“Agreement” means the agreement between Visionary Ecom and the Client, consisting of these Terms together with the applicable offer, order form, checkout page, invoice and any expressly agreed written terms.

“Program” means any coaching program, training, community, educational program or similar offering provided by Visionary Ecom.

“Services” means all coaching, training, calls, digital materials, community access, support, resources and related services provided by Visionary Ecom.

“Materials” means all videos, recordings, templates, frameworks, documents, presentations, processes, systems, course content, written materials and other intellectual property made available through the Services.

3. Business and Professional Purpose

Our Services are designed primarily for entrepreneurs, business owners and persons pursuing commercial or professional activities.

By purchasing the Services, the Client acknowledges that the Services are intended to assist with starting, developing, operating or scaling an e-commerce or other commercial business.

This includes Clients who have not yet formally established a business but purchase the Services for the purpose of starting or pursuing a business or professional activity.

Where a Client nevertheless qualifies as a consumer under mandatory applicable law, nothing in these Terms excludes, restricts or waives any consumer right that cannot lawfully be excluded, restricted or waived.

4. Formation of the Agreement

An Agreement is formed when the Client accepts an offer, completes a purchase or checkout, pays an invoice or deposit, electronically accepts these Terms, or otherwise expressly agrees to purchase the Services.

The specific scope, duration and price of the Services will be determined by the offer, checkout page, invoice, order confirmation or other written agreement applicable to the Client.

Visionary Ecom may refuse an application or purchase where reasonably necessary, subject to applicable law.

5. Services

Visionary Ecom provides educational and coaching services relating primarily to e-commerce, marketing, branding, advertising, business development and related subjects.

The exact contents of a Program may vary.

Programs may include, depending on the applicable offer:

  • individual coaching;

  • group coaching;

  • online calls;

  • community access;

  • educational videos;

  • templates and frameworks;

  • digital resources;

  • feedback and support;

  • recordings of previous or current coaching sessions; and

  • other educational resources.

Unless expressly guaranteed in the applicable written offer, individual components, coaches, platforms, schedules, formats and Materials may reasonably change over time.

Visionary Ecom may improve, replace, reorganise or update Program content where this does not materially deprive the Client of the core Services purchased.

6. Program Duration and Access

The duration of a Program is the period specified in the applicable offer, invoice, checkout page or written agreement.

Access to certain communities, Materials or resources may continue beyond the formal coaching period where this forms part of the applicable offer.

Any reference to “lifetime access” means access for as long as the relevant Program, resource, community or platform continues to be maintained and offered by Visionary Ecom, unless expressly agreed otherwise in writing.

Visionary Ecom does not guarantee that any particular third-party platform, software provider or community platform will remain available indefinitely.

Where reasonably necessary, Visionary Ecom may migrate Services or Materials to another platform.

7. Coaching Calls and Reasonable Use

Where individual coaching forms part of the applicable Program, the Client will have access to at least one one-on-one coaching call per week during the agreed Program period, unless expressly stated otherwise in the applicable offer.

Additional coaching calls may be scheduled where reasonably useful or necessary. There is no predetermined maximum number of coaching calls unless expressly stated otherwise. Additional calls are provided on a reasonable-use basis, in consultation with the assigned coach and subject to reasonable availability.

If the assigned coach is temporarily unavailable, including due to illness or other unforeseen circumstances, Visionary Ecom will use reasonable efforts to ensure continuity of the coaching service, including, where appropriate, arranging a replacement coach or rescheduling the call within a reasonable period.

Reasonable use does not entitle a Client to excessive access to a coach or to demand calls at an unreasonable frequency, duration or notice. Visionary Ecom may reasonably manage additional call requests to protect coach availability and the quality of the Services.

Both the Client and Visionary Ecom are expected to act reasonably when scheduling and rescheduling calls. Repeated no-shows, last-minute cancellations or misuse of coaching availability may result in reasonable restrictions on scheduling.

Coaching access does not accumulate beyond the applicable Program period unless otherwise agreed in writing.

8. Client Responsibilities

The Client acknowledges that successful participation requires active implementation, decision-making and effort.

The Client is responsible for:

  • attending and participating in the Program;

  • implementing strategies at their own discretion;

  • conducting independent research;

  • making their own commercial decisions;

  • managing their business and finances;

  • selecting and supervising suppliers and contractors;

  • verifying information before relying upon it;

  • complying with laws and regulations applicable to their business;

  • ensuring that products, advertisements, websites and business practices are lawful; and

  • obtaining appropriate professional advice where required.

The Client must provide Visionary Ecom with accurate and complete information where such information is relevant to the Services.

9. No Guarantee of Results

Visionary Ecom does not guarantee any particular business, financial or commercial result.

E-commerce and entrepreneurship involve substantial risk.

Any revenue, profit, ROAS, sales volume, growth rate, business valuation or other result shown in our marketing, Programs, communities, calls, Materials or case studies represents an individual example only.

Past results do not guarantee future performance.

Results vary significantly and depend on factors including, without limitation:

  • the Client's experience;

  • execution;

  • effort;

  • available capital;

  • advertising budget;

  • product selection;

  • pricing;

  • suppliers;

  • margins;

  • market conditions;

  • competition;

  • advertising platforms;

  • payment providers;

  • consumer demand;

  • economic conditions; and

  • factors outside Visionary Ecom's control.

The Client acknowledges that they may earn less than examples shown, earn nothing, or lose money.

No statement made by Visionary Ecom, its founders, employees, coaches, contractors, representatives or other participants constitutes a guarantee of income, revenue, profit or return on investment.

10. Educational Services — No Legal, Tax, Financial or Professional Advice

The Services are provided for educational, informational and coaching purposes only.

Nothing provided by Visionary Ecom constitutes legal, tax, accounting, investment, financial, regulatory, compliance or other professional advice.

Comments or feedback provided by a coach concerning business structures, taxes, advertising, intellectual property, payment processing, product compliance, consumer law, contracts or similar matters are general educational information only.

The Client remains solely responsible for determining the legal, tax, regulatory and commercial requirements applicable to their business.

The Client is responsible for obtaining independent advice from appropriately qualified lawyers, accountants, tax advisers or other professionals where necessary.

Any strategy, template, example, recommendation or feedback provided by Visionary Ecom must be independently assessed by the Client before implementation.

11. Business and Platform Risks

The Client accepts all normal risks associated with entrepreneurship and e-commerce.

Visionary Ecom is not responsible, to the maximum extent permitted by applicable law, for losses arising from or connected with:

  • advertising expenditure;

  • unsuccessful campaigns;

  • supplier problems;

  • defective products;

  • inventory;

  • refunds;

  • chargebacks;

  • disputes;

  • taxes or duties;

  • VAT or sales tax;

  • regulatory obligations;

  • intellectual property claims;

  • product compliance;

  • consumer claims;

  • payment processor reserves or holds;

  • frozen or terminated payment accounts;

  • advertising account restrictions or bans;

  • Shopify or other platform restrictions;

  • social-media account restrictions;

  • marketplace suspensions;

  • currency fluctuations;

  • third-party service interruptions; or

  • business decisions made by the Client.

Visionary Ecom has no control over decisions made by third-party platforms such as payment processors, advertising platforms, banks, marketplaces, social networks, software providers or e-commerce platforms.

12. Fees and Payment

The Client must pay the price stated in the applicable offer, invoice, checkout page or payment agreement.

Unless expressly stated otherwise, fees relate to the Program as a whole rather than individual calls, Materials or components.

Payment may be made in full or through an agreed payment plan.

Where a payment plan is offered, the instalments are a method of paying the total agreed purchase price and do not convert a fixed-term Program into a monthly subscription or monthly cancellable service.

Unless mandatory applicable law requires otherwise, discontinuing participation does not cancel remaining installments.

The Client remains responsible for amounts properly due under the Agreement.

Visionary Ecom will act reasonably in exceptional circumstances and may agree to alternative arrangements at its discretion. Any such arrangement does not create an obligation to offer the same accommodation in another case.

The Client is responsible for applicable taxes, duties or charges where legally required.

13. Failed and Late Payments

The Client must ensure that agreed payments can be collected when due.

If payment is overdue, Visionary Ecom may, after reasonable notice where appropriate:

  • suspend access to Services;

  • suspend coaching;

  • restrict community access;

  • refer the amount for lawful collection; and

  • exercise other contractual or legal remedies.

Any interest or collection costs will only be charged to the extent permitted by applicable law.

Suspension for non-payment does not by itself cancel amounts already due under the Agreement.

14. Refunds and Cancellation

Purchases are subject to Visionary Ecom's separate Refund & Cancellation Policy, which forms part of the Agreement.

Except where required by mandatory applicable law or expressly approved by Visionary Ecom, purchases are final and non-refundable.

A Client's decision to stop participating does not automatically terminate payment obligations.

Nothing in these Terms restricts any refund, cancellation, withdrawal or other remedy that cannot lawfully be excluded under mandatory applicable law.

15. Recordings of Coaching Sessions

Visionary Ecom may record coaching sessions, group calls and individual calls for purposes including:

  • delivering the Services;

  • allowing participants to review sessions;

  • maintaining a Program library;

  • education;

  • quality assurance;

  • internal training;

  • administration; and

  • other legitimate business purposes described in our Privacy Policy.

Group coaching recordings may be made available to other eligible participants, including participants who join after the recording was created, where recordings form part of the relevant Program or resource library.

A Client participating in a group session understands that their name, voice, image, comments, screen, chat messages or information they voluntarily share may appear in the recording.

Individual one-to-one coaching recordings are ordinarily made available only to the relevant Client and authorised Visionary Ecom personnel and will not ordinarily be shared with other Clients.

Clients should not disclose passwords, complete payment-card information, highly sensitive personal information or other information they do not wish to appear in a recording.

Where applicable law requires specific notice or consent for recording, Visionary Ecom will take reasonable steps to obtain it.

16. Results, Case Studies and Marketing

The Client acknowledges that Visionary Ecom has a legitimate commercial interest in demonstrating the effectiveness of its Programs through genuine participant results and case studies.

To the extent permitted by applicable data-protection and other laws, Visionary Ecom may use anonymised or aggregated business results and non-identifying information relating to Client performance for educational, analytical, promotional and marketing purposes.

Where legally permitted and supported by an appropriate lawful basis, Visionary Ecom may also use a Client's first name together with business results or performance information in case studies, social-media content, websites and other marketing materials.

Clients may object to future marketing use of their identifiable personal information by contacting info@visionaryecom.com. Visionary Ecom will honour such objections where required by applicable law.

Use of a Client's full name, identifiable photograph, recognisable video or audio recording, personal testimonial or other clearly identifiable likeness for advertising or promotional purposes will be subject to any additional consent or other lawful basis required by applicable law.

Participation in a coaching call does not, by itself, constitute consent for Visionary Ecom to use an identifiable video or audio clip from that call in advertising where consent is legally required.

Nothing in this section permits Visionary Ecom to publish confidential information or information that it is legally prohibited from publishing.

17. Confidentiality

Both parties may receive confidential information.

Clients must keep confidential any non-public information relating to Visionary Ecom, its operations, coaches, methods, internal processes or other Clients that they obtain through the Program.

Clients must respect the confidentiality of information shared by other participants.

Visionary Ecom will take reasonable measures to protect confidential Client information.

Confidentiality obligations do not apply to information that:

  • is already lawfully public;

  • becomes public without breach of these Terms;

  • was independently obtained lawfully;

  • must be disclosed by law or lawful authority; or

  • is disclosed with appropriate permission.

These obligations survive termination of the Agreement.

18. Intellectual Property

All intellectual property rights in Visionary Ecom Materials remain owned by Visionary Ecom or its licensors.

Purchasing a Program does not transfer ownership of any intellectual property.

The Client receives a limited, personal, non-exclusive, non-transferable and revocable licence to use Materials for their own business and learning purposes.

Without prior written permission, Clients may not:

  • sell or resell Materials;

  • distribute Materials;

  • publish Materials;

  • share account access;

  • reproduce substantial portions of Materials;

  • upload Materials to public or private databases;

  • share Program recordings;

  • create or distribute unauthorised recordings;

  • use Materials to create a substantially copied course or coaching product;

  • represent Visionary Ecom Materials as their own; or

  • commercially exploit Visionary Ecom intellectual property.

Clients may apply concepts and knowledge learned through the Program to their own businesses.

Nothing in these Terms prevents a Client from operating an e-commerce business or legitimately using general skills and experience acquired during the Program.

19. Non-Solicitation

During participation in a Program and for twelve (12) months after the end of the Client's participation, the Client must not knowingly and actively use relationships or access obtained through Visionary Ecom to solicit Visionary Ecom employees, coaches or contractors to leave Visionary Ecom for the purpose of working for or providing materially competing services to the Client or another business.

During the same period, the Client must not systematically use Visionary Ecom communities, participant lists or relationships obtained specifically through the Program to solicit other Visionary Ecom Clients for a directly competing coaching, education or mentorship service.

This clause does not prohibit:

  • ordinary networking;

  • genuine friendships;

  • unsolicited approaches initiated independently by another person;

  • general advertising not specifically targeted at Visionary Ecom participants; or

  • legitimate business relationships unrelated to competing with Visionary Ecom.

This provision applies only to the extent permitted by applicable law.

20. Community Conduct

Clients using Visionary Ecom communities must behave professionally and reasonably.

Visionary Ecom may restrict, suspend or terminate community access for conduct including:

  • harassment;

  • threats;

  • fraud;

  • spam;

  • unauthorised solicitation;

  • sharing confidential information;

  • infringement of intellectual property;

  • intentionally disrupting the community;

  • impersonation;

  • illegal activity; or

  • conduct that materially harms other participants or Visionary Ecom.

Where reasonably possible, Visionary Ecom may provide a warning before suspension or removal, but serious misconduct may result in immediate action.

Removal resulting from the Client's material breach does not automatically create a right to a refund, subject to mandatory applicable law.

21. Third-Party Services

Visionary Ecom may use third-party platforms and providers to deliver Services.

These may include payment processors, community platforms, communication tools, scheduling software, video-conferencing services, cloud services and other technology providers.

Visionary Ecom is not responsible for outages, changes, suspensions, security incidents or other failures caused solely by independent third-party providers outside Visionary Ecom's reasonable control.

Where practical, Visionary Ecom may provide an alternative method of delivery following a material third-party disruption.

22. Indemnification

To the maximum extent permitted by applicable law, a Client acting for business or professional purposes agrees to indemnify and hold harmless Visionary Ecom, its officers, employees, coaches and contractors from third-party claims, liabilities, damages and reasonable costs arising from:

  • the Client's business activities;

  • products sold by the Client;

  • advertising or claims made by the Client;

  • violation of applicable law by the Client;

  • infringement of third-party intellectual property by the Client;

  • misuse of Visionary Ecom Materials;

  • breach of confidentiality by the Client; or

  • material breach of these Terms.

This provision does not require the Client to indemnify Visionary Ecom for losses caused by Visionary Ecom's own fraud, wilful misconduct or other liability that cannot lawfully be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Visionary Ecom will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of:

  • profits;

  • revenue;

  • anticipated savings;

  • business opportunities;

  • goodwill;

  • data; or

  • commercial reputation.

To the maximum extent permitted by applicable law, Visionary Ecom's aggregate liability arising from an Agreement will not exceed the amount actually paid by the Client to Visionary Ecom for the specific Program giving rise to the claim during the twelve months preceding the event giving rise to liability.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot legally be excluded or limited.

24. Suspension and Termination by Visionary Ecom

Visionary Ecom may suspend or terminate Services where the Client:

  • materially breaches these Terms;

  • fails to make payments when due;

  • infringes Visionary Ecom's intellectual property;

  • seriously breaches confidentiality;

  • engages in fraud or illegal conduct;

  • harasses coaches or participants;

  • materially disrupts the Program; or

  • creates a genuine security or legal risk.

Where the breach can reasonably be remedied, Visionary Ecom may first provide the Client with a reasonable opportunity to remedy it.

Serious or intentional breaches may justify immediate suspension or termination.

Any refund following termination will be determined in accordance with mandatory applicable law and the Refund & Cancellation Policy.

25. Termination by the Client

A Client may stop participating in a Program at any time by notifying Visionary Ecom.

Stopping participation does not, by itself:

  • create a right to a refund;

  • convert a fixed Program into a monthly subscription; or

  • cancel outstanding payment obligations.

Any statutory cancellation or withdrawal rights that cannot lawfully be excluded remain unaffected.

26. Force Majeure

Visionary Ecom is not liable for delay or failure caused by circumstances outside its reasonable control, including natural disasters, war, civil unrest, government action, major telecommunications outages, widespread platform failures, epidemics, strikes or similar events.

Affected obligations will be suspended for the duration of the event where appropriate.

Visionary Ecom will use reasonable efforts to minimise material disruption.

27. Complaints

Clients should send complaints to:

The Client should provide sufficient information for Visionary Ecom to understand and investigate the complaint.

Both parties agree to make reasonable efforts to resolve disputes in good faith before commencing formal proceedings where appropriate.

28. Privacy

Personal data is processed in accordance with Visionary Ecom's Privacy Policy.

By participating in the Services, Clients acknowledge that certain processing is necessary to deliver the Program, administer accounts, process payments, operate communities and provide coaching.

29. Governing Law and Jurisdiction

These Terms and the Agreement are governed by the applicable laws of the United Arab Emirates.

Subject to any mandatory jurisdiction or consumer-protection rules that apply, disputes arising from or relating to the Agreement will be subject to the competent courts of Dubai, United Arab Emirates.

Nothing in this section deprives a Client of any mandatory protection or jurisdictional right that cannot lawfully be excluded by agreement.

30. Changes to These Terms

Visionary Ecom may update these Terms from time to time.

Material changes will not retroactively deprive a Client of material contractual rights already purchased unless required by law or expressly agreed.

Updated Terms may apply to future purchases, renewals or continued Services where legally permitted and appropriately communicated.

31. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

The invalid provision will, where legally possible, be interpreted or adjusted to achieve its intended commercial purpose as closely as permitted by law.

32. Entire Agreement

These Terms, together with the applicable offer, order, invoice, checkout information and expressly agreed written terms, constitute the Agreement between Visionary Ecom and the Client regarding the relevant Services.

If a specifically negotiated written term expressly conflicts with these Terms, the specifically negotiated term prevails to the extent of that conflict.

The Client must provide Visionary Ecom with accurate and complete information where such information is relevant to the Services.

9. No Guarantee of Results

Visionary Ecom does not guarantee any particular business, financial or commercial result.

E-commerce and entrepreneurship involve substantial risk.

Any revenue, profit, ROAS, sales volume, growth rate, business valuation or other result shown in our marketing, Programs, communities, calls, Materials or case studies represents an individual example only.

Past results do not guarantee future performance.

Results vary significantly and depend on factors including, without limitation:

  • the Client's experience;

  • execution;

  • effort;

  • available capital;

  • advertising budget;

  • product selection;

  • pricing;

  • suppliers;

  • margins;

  • market conditions;

  • competition;

  • advertising platforms;

  • payment providers;

  • consumer demand;

  • economic conditions; and

  • factors outside Visionary Ecom's control.

The Client acknowledges that they may earn less than examples shown, earn nothing, or lose money.

No statement made by Visionary Ecom, its founders, employees, coaches, contractors, representatives or other participants constitutes a guarantee of income, revenue, profit or return on investment.

10. Educational Services — No Legal, Tax, Financial or Professional Advice

The Services are provided for educational, informational and coaching purposes only.

Nothing provided by Visionary Ecom constitutes legal, tax, accounting, investment, financial, regulatory, compliance or other professional advice.

Comments or feedback provided by a coach concerning business structures, taxes, advertising, intellectual property, payment processing, product compliance, consumer law, contracts or similar matters are general educational information only.

The Client remains solely responsible for determining the legal, tax, regulatory and commercial requirements applicable to their business.

The Client is responsible for obtaining independent advice from appropriately qualified lawyers, accountants, tax advisers or other professionals where necessary.

Any strategy, template, example, recommendation or feedback provided by Visionary Ecom must be independently assessed by the Client before implementation.

11. Business and Platform Risks

The Client accepts all normal risks associated with entrepreneurship and e-commerce.

Visionary Ecom is not responsible, to the maximum extent permitted by applicable law, for losses arising from or connected with:

  • advertising expenditure;

  • unsuccessful campaigns;

  • supplier problems;

  • defective products;

  • inventory;

  • refunds;

  • chargebacks;

  • disputes;

  • taxes or duties;

  • VAT or sales tax;

  • regulatory obligations;

  • intellectual property claims;

  • product compliance;

  • consumer claims;

  • payment processor reserves or holds;

  • frozen or terminated payment accounts;

  • advertising account restrictions or bans;

  • Shopify or other platform restrictions;

  • social-media account restrictions;

  • marketplace suspensions;

  • currency fluctuations;

  • third-party service interruptions; or

  • business decisions made by the Client.

Visionary Ecom has no control over decisions made by third-party platforms such as payment processors, advertising platforms, banks, marketplaces, social networks, software providers or e-commerce platforms.

12. Fees and Payment

The Client must pay the price stated in the applicable offer, invoice, checkout page or payment agreement.

Unless expressly stated otherwise, fees relate to the Program as a whole rather than individual calls, Materials or components.

Payment may be made in full or through an agreed payment plan.

Where a payment plan is offered, the instalments are a method of paying the total agreed purchase price and do not convert a fixed-term Program into a monthly subscription or monthly cancellable service.

Unless mandatory applicable law requires otherwise, discontinuing participation does not cancel remaining installments.

The Client remains responsible for amounts properly due under the Agreement.

Visionary Ecom will act reasonably in exceptional circumstances and may agree to alternative arrangements at its discretion. Any such arrangement does not create an obligation to offer the same accommodation in another case.

The Client is responsible for applicable taxes, duties or charges where legally required.

13. Failed and Late Payments

The Client must ensure that agreed payments can be collected when due.

If payment is overdue, Visionary Ecom may, after reasonable notice where appropriate:

  • suspend access to Services;

  • suspend coaching;

  • restrict community access;

  • refer the amount for lawful collection; and

  • exercise other contractual or legal remedies.

Any interest or collection costs will only be charged to the extent permitted by applicable law.

Suspension for non-payment does not by itself cancel amounts already due under the Agreement.

14. Refunds and Cancellation

Purchases are subject to Visionary Ecom's separate Refund & Cancellation Policy, which forms part of the Agreement.

Except where required by mandatory applicable law or expressly approved by Visionary Ecom, purchases are final and non-refundable.

A Client's decision to stop participating does not automatically terminate payment obligations.

Nothing in these Terms restricts any refund, cancellation, withdrawal or other remedy that cannot lawfully be excluded under mandatory applicable law.

15. Recordings of Coaching Sessions

Visionary Ecom may record coaching sessions, group calls and individual calls for purposes including:

  • delivering the Services;

  • allowing participants to review sessions;

  • maintaining a Program library;

  • education;

  • quality assurance;

  • internal training;

  • administration; and

  • other legitimate business purposes described in our Privacy Policy.

Group coaching recordings may be made available to other eligible participants, including participants who join after the recording was created, where recordings form part of the relevant Program or resource library.

A Client participating in a group session understands that their name, voice, image, comments, screen, chat messages or information they voluntarily share may appear in the recording.

Individual one-to-one coaching recordings are ordinarily made available only to the relevant Client and authorised Visionary Ecom personnel and will not ordinarily be shared with other Clients.

Clients should not disclose passwords, complete payment-card information, highly sensitive personal information or other information they do not wish to appear in a recording.

Where applicable law requires specific notice or consent for recording, Visionary Ecom will take reasonable steps to obtain it.

16. Results, Case Studies and Marketing

The Client acknowledges that Visionary Ecom has a legitimate commercial interest in demonstrating the effectiveness of its Programs through genuine participant results and case studies.

To the extent permitted by applicable data-protection and other laws, Visionary Ecom may use anonymised or aggregated business results and non-identifying information relating to Client performance for educational, analytical, promotional and marketing purposes.

Where legally permitted and supported by an appropriate lawful basis, Visionary Ecom may also use a Client's first name together with business results or performance information in case studies, social-media content, websites and other marketing materials.

Clients may object to future marketing use of their identifiable personal information by contacting info@visionaryecom.com. Visionary Ecom will honour such objections where required by applicable law.

Use of a Client's full name, identifiable photograph, recognisable video or audio recording, personal testimonial or other clearly identifiable likeness for advertising or promotional purposes will be subject to any additional consent or other lawful basis required by applicable law.

Participation in a coaching call does not, by itself, constitute consent for Visionary Ecom to use an identifiable video or audio clip from that call in advertising where consent is legally required.

Nothing in this section permits Visionary Ecom to publish confidential information or information that it is legally prohibited from publishing.

17. Confidentiality

Both parties may receive confidential information.

Clients must keep confidential any non-public information relating to Visionary Ecom, its operations, coaches, methods, internal processes or other Clients that they obtain through the Program.

Clients must respect the confidentiality of information shared by other participants.

Visionary Ecom will take reasonable measures to protect confidential Client information.

Confidentiality obligations do not apply to information that:

  • is already lawfully public;

  • becomes public without breach of these Terms;

  • was independently obtained lawfully;

  • must be disclosed by law or lawful authority; or

  • is disclosed with appropriate permission.

These obligations survive termination of the Agreement.

18. Intellectual Property

All intellectual property rights in Visionary Ecom Materials remain owned by Visionary Ecom or its licensors.

Purchasing a Program does not transfer ownership of any intellectual property.

The Client receives a limited, personal, non-exclusive, non-transferable and revocable licence to use Materials for their own business and learning purposes.

Without prior written permission, Clients may not:

  • sell or resell Materials;

  • distribute Materials;

  • publish Materials;

  • share account access;

  • reproduce substantial portions of Materials;

  • upload Materials to public or private databases;

  • share Program recordings;

  • create or distribute unauthorised recordings;

  • use Materials to create a substantially copied course or coaching product;

  • represent Visionary Ecom Materials as their own; or

  • commercially exploit Visionary Ecom intellectual property.

Clients may apply concepts and knowledge learned through the Program to their own businesses.

Nothing in these Terms prevents a Client from operating an e-commerce business or legitimately using general skills and experience acquired during the Program.

19. Non-Solicitation

During participation in a Program and for twelve (12) months after the end of the Client's participation, the Client must not knowingly and actively use relationships or access obtained through Visionary Ecom to solicit Visionary Ecom employees, coaches or contractors to leave Visionary Ecom for the purpose of working for or providing materially competing services to the Client or another business.

During the same period, the Client must not systematically use Visionary Ecom communities, participant lists or relationships obtained specifically through the Program to solicit other Visionary Ecom Clients for a directly competing coaching, education or mentorship service.

This clause does not prohibit:

  • ordinary networking;

  • genuine friendships;

  • unsolicited approaches initiated independently by another person;

  • general advertising not specifically targeted at Visionary Ecom participants; or

  • legitimate business relationships unrelated to competing with Visionary Ecom.

This provision applies only to the extent permitted by applicable law.

20. Community Conduct

Clients using Visionary Ecom communities must behave professionally and reasonably.

Visionary Ecom may restrict, suspend or terminate community access for conduct including:

  • harassment;

  • threats;

  • fraud;

  • spam;

  • unauthorised solicitation;

  • sharing confidential information;

  • infringement of intellectual property;

  • intentionally disrupting the community;

  • impersonation;

  • illegal activity; or

  • conduct that materially harms other participants or Visionary Ecom.

Where reasonably possible, Visionary Ecom may provide a warning before suspension or removal, but serious misconduct may result in immediate action.

Removal resulting from the Client's material breach does not automatically create a right to a refund, subject to mandatory applicable law.

21. Third-Party Services

Visionary Ecom may use third-party platforms and providers to deliver Services.

These may include payment processors, community platforms, communication tools, scheduling software, video-conferencing services, cloud services and other technology providers.

Visionary Ecom is not responsible for outages, changes, suspensions, security incidents or other failures caused solely by independent third-party providers outside Visionary Ecom's reasonable control.

Where practical, Visionary Ecom may provide an alternative method of delivery following a material third-party disruption.

22. Indemnification

To the maximum extent permitted by applicable law, a Client acting for business or professional purposes agrees to indemnify and hold harmless Visionary Ecom, its officers, employees, coaches and contractors from third-party claims, liabilities, damages and reasonable costs arising from:

  • the Client's business activities;

  • products sold by the Client;

  • advertising or claims made by the Client;

  • violation of applicable law by the Client;

  • infringement of third-party intellectual property by the Client;

  • misuse of Visionary Ecom Materials;

  • breach of confidentiality by the Client; or

  • material breach of these Terms.

This provision does not require the Client to indemnify Visionary Ecom for losses caused by Visionary Ecom's own fraud, wilful misconduct or other liability that cannot lawfully be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Visionary Ecom will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of:

  • profits;

  • revenue;

  • anticipated savings;

  • business opportunities;

  • goodwill;

  • data; or

  • commercial reputation.

To the maximum extent permitted by applicable law, Visionary Ecom's aggregate liability arising from an Agreement will not exceed the amount actually paid by the Client to Visionary Ecom for the specific Program giving rise to the claim during the twelve months preceding the event giving rise to liability.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot legally be excluded or limited.

24. Suspension and Termination by Visionary Ecom

Visionary Ecom may suspend or terminate Services where the Client:

  • materially breaches these Terms;

  • fails to make payments when due;

  • infringes Visionary Ecom's intellectual property;

  • seriously breaches confidentiality;

  • engages in fraud or illegal conduct;

  • harasses coaches or participants;

  • materially disrupts the Program; or

  • creates a genuine security or legal risk.

Where the breach can reasonably be remedied, Visionary Ecom may first provide the Client with a reasonable opportunity to remedy it.

Serious or intentional breaches may justify immediate suspension or termination.

Any refund following termination will be determined in accordance with mandatory applicable law and the Refund & Cancellation Policy.

25. Termination by the Client

A Client may stop participating in a Program at any time by notifying Visionary Ecom.

Stopping participation does not, by itself:

  • create a right to a refund;

  • convert a fixed Program into a monthly subscription; or

  • cancel outstanding payment obligations.

Any statutory cancellation or withdrawal rights that cannot lawfully be excluded remain unaffected.

26. Force Majeure

Visionary Ecom is not liable for delay or failure caused by circumstances outside its reasonable control, including natural disasters, war, civil unrest, government action, major telecommunications outages, widespread platform failures, epidemics, strikes or similar events.

Affected obligations will be suspended for the duration of the event where appropriate.

Visionary Ecom will use reasonable efforts to minimise material disruption.

27. Complaints

The Client should provide sufficient information for Visionary Ecom to understand and investigate the complaint.

Both parties agree to make reasonable efforts to resolve disputes in good faith before commencing formal proceedings where appropriate.

28. Privacy

Personal data is processed in accordance with Visionary Ecom's Privacy Policy.

By participating in the Services, Clients acknowledge that certain processing is necessary to deliver the Program, administer accounts, process payments, operate communities and provide coaching.

29. Governing Law and Jurisdiction

These Terms and the Agreement are governed by the applicable laws of the United Arab Emirates.

Subject to any mandatory jurisdiction or consumer-protection rules that apply, disputes arising from or relating to the Agreement will be subject to the competent courts of Dubai, United Arab Emirates.

Nothing in this section deprives a Client of any mandatory protection or jurisdictional right that cannot lawfully be excluded by agreement.

30. Changes to These Terms

Visionary Ecom may update these Terms from time to time.

Material changes will not retroactively deprive a Client of material contractual rights already purchased unless required by law or expressly agreed.

Updated Terms may apply to future purchases, renewals or continued Services where legally permitted and appropriately communicated.

31. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

The invalid provision will, where legally possible, be interpreted or adjusted to achieve its intended commercial purpose as closely as permitted by law.

32. Entire Agreement

These Terms, together with the applicable offer, order, invoice, checkout information and expressly agreed written terms, constitute the Agreement between Visionary Ecom and the Client regarding the relevant Services.

If a specifically negotiated written term expressly conflicts with these Terms, the specifically negotiated term prevails to the extent of that conflict.
